A resolution approving a proposed Second Amendment to Cooperative Agreement between the City and County of Denver and Denver Zoological Foundation, Inc. for the reorganization, restructuring and mayoral appointments concerning the Denver Zoo.
Amends an agreement with the Denver Zoological Foundation, Inc. (DZF) to restructure the DZF Board into a Board of Governors and a Leadership Council. The last regularly scheduled Council meeting within the 30-day review period is on 1-8-18. The Committee approved filing this resolution at its meeting on 12-5-17.

Type and Scope of services to be performed: The Board of Trustees of the Denver Zoological Foundation, in following the recommendations contained in the report of the Denver City Auditor dated January 19, 2017, retained a non-profit board governance consultant to analyze the DZF’s governance approach. This resulted in the decision to restructure the DZF Board into two entities-a Board of Governors (which will become the fiduciary board and oversee Zoo operations) and a Leadership Council (which will raise funds to support DZF and act as goodwill ambassadors in the community).
